Introduction

These Terms of Use ("Terms") govern your access to and use of prevailventurecapital.com and any pages, content, or services we make available through it (collectively, the "Site"). The Site is operated by Prevail Innovative Wealth Advisors, LLC ("PIWA"), a federally registered investment adviser, doing business as Prevail Venture Capital.

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use the Site. By using the Site you represent that you meet these requirements.

The Site is operated from the United States and is intended for users located in the United States. We make no representation that the Site or any content on it is appropriate or available for use in other locations. Those who access the Site from outside the United States do so on their own initiative and are responsible for compliance with applicable local laws.

Scope — no investment, legal, or tax advice

The Site is provided for general informational purposes about Prevail Venture Capital, its team, its portfolio companies, its press coverage, and the advisory services offered by PIWA.

Nothing on the Site constitutes investment, legal, accounting, or tax advice. Information on the Site is not an offer to buy or sell, or a solicitation of an offer to buy or sell, any security or other financial instrument. You should not rely on any information on the Site as the basis for making an investment decision. Consult your own qualified advisers before making any decision that involves your money or your tax position.

Information on the Site may include forward-looking statements, projections, or third-party data. We do not guarantee that any such statement will prove accurate, and we have no obligation to update it.

Accredited investors only

Investments in Prevail Venture Capital Fund I, LP (the "Fund") are limited to "accredited investors" as that term is defined in Rule 501(a) of Regulation D under the Securities Act of 1933. Any offer or solicitation to acquire interests in the Fund may be made only by the Fund's Private Placement Memorandum and related subscription documents, and only in accordance with applicable securities laws.

Nothing on the Site, including descriptions of portfolio companies or fund strategy, should be construed as an offer to sell, or a solicitation of an offer to buy, interests in the Fund.

Acceptable use

You agree to use the Site only for lawful purposes and only in a manner consistent with these Terms. You agree not to:

  • Use the Site in any way that could disable, overburden, damage, or impair it, or interfere with any other party's use of the Site.
  • Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our prior written consent, except for ordinary search-engine crawling consistent with our robots.txt.
  • Attempt to gain unauthorized access to any portion of the Site, including any account, server, or system associated with the Site.
  • Probe, scan, or test the vulnerability of any system or network connected to the Site, or breach any security or authentication measures.
  • Use the contact form, comments, or any other input feature to transmit unsolicited promotional material, malware, or any content that is unlawful, harassing, defamatory, or infringing.
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity.

Intellectual property

The Site, including all text, graphics, logos, images, audio, video, software, design, and other content (collectively, "Content"), is owned by or licensed to PIWA and is protected by United States and international copyright, trademark, and other intellectual-property laws. "Prevail," "Prevail Venture Capital," and related names and logos are trademarks of PIWA or its affiliates.

Subject to your compliance with these Terms, PIWA grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Content on the Site for your personal, non-commercial use. You may not reproduce, modify, distribute, publicly perform, publicly display, or create derivative works of the Content without our prior written consent, except that you may print or download a reasonable number of copies for your personal, non-commercial use, provided you retain all copyright and other proprietary notices.

Portfolio company logos and other third-party marks displayed on the Site are the property of their respective owners and are used with permission or in nominative fair use.

Privacy

Our collection and use of information through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Site you consent to that collection and use.

Disclaimers and no warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIWA AND ITS AFFILIATES DISCLAIM ALL WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components; that the Content will be accurate, complete, or current; or that any defects will be corrected. Your use of the Site is at your own risk.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PIWA, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

Indemnification

You agree to indemnify, defend, and hold harmless PIWA, its affiliates, and their respective officers, directors, members, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any rights of any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate in our defense.

Governing law and venue

These Terms, and any dispute arising out of or related to the Site, are governed by the laws of the State of Kansas, without regard to its conflict-of-laws principles. You agree that the exclusive jurisdiction and venue for any action arising out of or related to these Terms will be the state and federal courts located in Johnson County, Kansas, and you consent to the personal jurisdiction of those courts. You waive any objection based on inconvenient forum.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. If we make material changes, we will take reasonable steps to notify you, including by posting a notice on the Site. Your continued use of the Site after an update constitutes acceptance of the revised Terms.
